Terms & Conditions

These Terms constitute a legally binding agreement between you ("Client", "you") and Skyorions Technologies ("Skyorions", "we", "us"), a digital marketing agency incorporated under Indian law with its principal office in Lucknow, Uttar Pradesh, India.

If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that entity. If you do not agree with any part of these Terms, you must not use our services.

Your acceptance of these Terms occurs when you:

• Submit a contact, inquiry, or consultation request form on our website
• Sign a service proposal, agreement, or statement of work with Skyorions
• Make a payment for any Skyorions service or package
• Continue to use our website after changes to these Terms have been posted

These Terms are supplemented by any specific service agreements, proposals, or statements of work executed between Skyorions and the Client. In case of conflict, the specific written agreement shall prevail.

Skyorions Technologies provides AI-powered digital marketing and growth services including but not limited to:

The exact scope, deliverables, timeline, and pricing for each engagement are defined in the mutually agreed service proposal or contract. Skyorions reserves the right to modify, add, or discontinue services at any time with reasonable notice to existing clients.

To enable Skyorions to deliver services effectively, the Client agrees to:

• Provide accurate, complete, and up-to-date business information including goals, audience details, products, and existing assets
• Grant timely access to required platforms, ad accounts, analytics tools, and creative assets as agreed in the scope
• Review and approve deliverables within the agreed turnaround time — delays in approval may impact project timelines
• Ensure that all materials, content, or information provided to Skyorions do not infringe upon third-party intellectual property, are legally compliant, and are accurate
• Comply with the advertising platform policies of Meta, Google, and any other platform used in the engagement
• Appoint a designated point of contact to facilitate communication and approvals
• Not hold Skyorions responsible for performance outcomes that are directly attributable to client-side delays, incorrect information, or ad account restrictions caused by the Client

All fees, payment schedules, and billing terms are defined in the service proposal or agreement. The following standard terms apply unless otherwise specified in writing:

• All prices are in Indian Rupees (INR) unless stated otherwise and are exclusive of applicable GST
• Skyorions will issue a GST-compliant invoice for all billable services
• Ad spend budgets paid to third-party platforms (Meta, Google, etc.) are entirely separate from Skyorions service fees and are the Client's direct responsibility
• Unpaid invoices beyond 15 days may result in suspension of active campaigns and deliverables without further notice
• Disputed invoices must be communicated in writing within 7 days of receipt

The ownership of work product and creative assets depends on the nature of the engagement:

• Client-Owned Materials: Any original content, brand assets, trademarks, or materials provided by the Client remain the sole property of the Client
• Skyorions-Created Deliverables: Once full payment is received, all custom deliverables produced specifically for the Client (ad creatives, copy, landing pages) are transferred to the Client
• Skyorions Proprietary Tools: Internal frameworks, automation templates, AI workflows, and strategic processes developed by Skyorions remain our exclusive property and are licensed to the Client for use during the engagement only
• Third-Party Assets: Stock images, fonts, or licensed tools used in deliverables are subject to their respective licensing terms and are not transferred to the Client
• Portfolio Rights: Skyorions reserves the right to reference the Client engagement in our portfolio, case studies, or marketing materials unless the Client requests otherwise in writing

Both parties agree to maintain strict confidentiality of any proprietary information, trade secrets, business strategies, client data, or financial information shared during the engagement.

• Neither party shall disclose confidential information to any third party without prior written consent
• Confidential information excludes anything that is or becomes publicly known through no breach of this agreement, or information independently developed without reference to the disclosed material
• Skyorions will not share your business data, campaign performance metrics, or strategic details with competitors or unrelated third parties
• This confidentiality obligation survives the termination of the engagement for a period of two (2) years

Skyorions provides services with professional skill and diligence. However, the following limitations apply:

• No Guaranteed Results: Digital marketing outcomes depend on market conditions, ad platform algorithms, product-market fit, and external factors outside our control. We do not guarantee specific lead volumes, conversion rates, ROAS, or revenue outcomes
• Platform Dependency: Services delivered via third-party platforms (Meta, Google, WhatsApp Business API) are subject to those platforms' policies and may be affected by changes outside our control
• Website Accuracy: Information on skyorions.com is provided in good faith and may be updated. We make no warranty that it is always current, complete, or error-free
• As-Is Basis: Our website and tools are provided "as is" without warranties of any kind, express or implied, except where explicitly stated in a signed agreement

To the maximum extent permitted by applicable Indian law:

• Skyorions shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity
• Our total aggregate liability to the Client for any claim arising from our services shall not exceed the total fees paid by the Client to Skyorions in the three (3) months preceding the claim
• Skyorions is not liable for losses arising from platform outages, algorithm changes, account suspensions initiated by ad platforms, or force majeure events
• We are not responsible for the performance of any third-party services, tools, or platforms recommended or integrated as part of our services

Either party may terminate an ongoing engagement subject to the following conditions:

Upon termination, Skyorions will provide all completed deliverables and transfer relevant access to the Client (ad accounts, analytics, etc.) within 7 business days, subject to full payment of outstanding amounts. Clauses related to confidentiality, intellectual property, and limitation of liability survive termination.

In the event of any dispute, claim, or controversy arising from these Terms or any service engagement, the parties agree to the following process:

• Step 1 — Direct Resolution: Both parties shall first attempt to resolve the dispute through good-faith negotiation within 15 calendar days of written notice of the dispute
• Step 2 — Mediation: If direct resolution fails, the parties agree to seek mediation by a mutually agreed neutral mediator in Lucknow, Uttar Pradesh
• Step 3 — Arbitration: If mediation is unsuccessful, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 (India), with proceedings in English in Lucknow

Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a competent court where necessary.

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of India, including:

• The Indian Contract Act, 1872
• The Information Technology Act, 2000 and its amendments
• The Consumer Protection Act, 2019 (where applicable)
• Applicable GST and tax laws of India

Subject to the dispute resolution process above, the courts of Lucknow, Uttar Pradesh, India shall have exclusive jurisdiction over any legal proceedings arising from or in connection with these Terms.

Skyorions may update these Terms from time to time. Material changes will be communicated via the website or email. Continued use of our services after such changes constitutes acceptance of the updated Terms.
